PLEASE READ THE TERMS OF USE AND OUR LICENSE AGREEMENT FOLLOWING, (COLLECTIVELY, THE “TERMS & CONDITIONS”). BY CLICKING ON “I AGREE” BELOW, AND BY USING THE SRP HeatCalc ONLINE PROGRAM, YOU CONFIRM THAT YOU HAVE READ AND ARE LEGALLY BOUND BY THE TERMS AND CONDITIONS.

LICENSE AGREEMENT

1. License: Superior Radiant Products Ltd. (“we” or “us”) provides you with a non-transferable, non-exclusive, revocable license to the SRP HeatCalc web-based software program (hereinafter referred to as “SRP HeatCalc”). The form and other materials in this website or transmission are provided to you only under the terms of this License Agreement and are not sold to you.

2. Ownership: We are not granting you any ownership interest in SRP HeatCalc. We will at all times retain the copyright and all other right, title and interest in SRP HeatCalc, the information and data contained in the program.

3. Obligations: You will:

   1. Register one single seat and transfer this License Agreement or the use of SRP HeatCalc to no other party.

   2. Always acknowledge and give credit to Superior Radiant Products when using or disclosing any SRP HeatCalc generated results in the following manner:
      Results generated with the assistance of SRP HeatCalc program.

4. Not Advice: This website is for informational purposes only. In providing the SRP HeatCalc, we are not rendering engineering or other professional services. The SRP HeatCalc should only be used in association with the services of competent engineering professionals.

5. Disclaimer of Warranties: All of the information provided on this website and SRP HeatCalc is provided "AS-IS" and with NO WARRANTIES. No express or implied warranties of any type, either express or implied, including for example implied warranties of calculation for heat load, equipment performance or efficiency claims, are made with respect to the information, or any use of the information, on this site. We make no representations and extend no warranties of any type, either express or implied, as to the accuracy or completeness of any information or content on this website. We expressly disclaim and exclude all representations and warranties that SRP HeatCalc is merchantable, accurate or fit for a particular purpose.

6. Limitation of Liability: In no event will we be liable to you, other users or any other person or entity, for any damages of any kind, including lost profits, data, business interruption or special, incidental or consequential damages, in any way arising out of or in connection with the SRP HeatCalc program, its use or performance, or this License Agreement, even if we have been advised of the possibility of such damages.

7. Indemnity: You will indemnify and hold us harmless against any claims, liability, loss, damage, costs or expenses (“claims”), including reasonable legal costs, resulting from your breach of any of the terms of this License Agreement.

8. General: This License Agreement may not be changed except by a written amendment signed by us. This License Agreement shall be governed and construed in accordance with the laws of the Province of Ontario, Canada. This License Agreement together with the TERMS OF USE constitutes the entire agreement between you and us relating to SRP HeatCalc and supersedes any prior understandings, arrangements, commitments, communications or agreements, oral or written, between you and us. If any provision of this License Agreement becomes void, invalid, illegal or unenforceable, the remaining provisions will not be affected and will continue in effect as though the unenforceable provision(s) were deleted.
